Terms of Service

These Terms govern your use of NOFO, a federal funding discovery and pursuit platform operated by Sun Bear Industries (“we,” “us”). By creating an account or using the service, you agree to them. If you do not agree, do not use NOFO.

Our Privacy Policy explains how we handle information and is part of this agreement.

You must be at least 18 years old. If you are using NOFO on behalf of a tribal government, tribal organization, CDFI, or any other entity, you represent that you are authorized to accept these Terms for that entity, and “you” means both you and that entity.

Keep your credentials to yourself and keep your account details accurate. You are responsible for what happens under your account, so tell us promptly at support@nofogrants.com if you believe someone else has access to it. Resetting your password signs out every other session on the account.

Work in NOFO happens inside a team. The team's owner decides who joins, what role each member holds, and when access ends, and may remove any member, including consultants and outside partners, at any time.

Everything a team's members create is visible to that team. If you invite someone, you are choosing to show them your team's goals, pipeline, and notes. As between the members of a team and us, the organization the team represents controls the team's content.

The goals, notes, statuses, documents, and records your team creates are yours. We claim no ownership of them.

You grant us only the permission we need to run the service for you: to host, store, back up, transmit, and process your content in order to operate NOFO, match opportunities to your goals, and provide support. That permission exists for as long as you keep the content on NOFO and ends when you delete it or close the account, apart from residual copies in backups that age out as described in the Privacy Policy. We do not train AI models on your content and do not permit our providers to.

The software, design, brand, and the way NOFO organizes and presents opportunity information are ours, and these Terms do not transfer any of it to you.

NOFO helps your team find and organize funding opportunities. It does not apply for you, and it cannot make an award happen.

• Confirm with the source. Opportunity information comes from federal and other public sources and can change, be corrected, or be withdrawn without notice. Always confirm deadlines, eligibility, and requirements with the issuing organization before you rely on them or apply.
• Not professional advice. Nothing in NOFO is legal, financial, tax, or grant-writing advice, and a match is not an assurance of eligibility. Use your own judgment and your own advisors.
• Not a government service. NOFO is an independent product of Sun Bear Industries. It is not affiliated with, endorsed by, or acting on behalf of Grants.gov or any agency of the United States government.

Matches, fit assessments, and the reasoning shown alongside them are produced by AI reading public program text against the goals your team wrote. They are suggestions with their reasoning attached so your team can check them, not determinations. AI can be wrong, can miss a relevant program, and can surface one you are not eligible for. Treat every match as a starting point for your own review.

You agree not to:

• Access another team's data, or attempt to defeat authentication, access controls, or rate limits.
• Scrape, bulk-export, resell, or redistribute NOFO's compiled opportunity information as a competing product or dataset.
• Upload malicious code, or content that is unlawful, infringing, or that you do not have the right to put into the product, including sensitive personal information about the people your programs serve.
• Interfere with the service or with anyone else's use of it, or use it to violate the law.
• Misrepresent who you are or which organization you are authorized to act for.

NOFO is actively developed. We may add, change, or remove features, and parts of the product may be offered as previews that are less stable than the rest. We aim for the service to be available and will give reasonable notice of planned downtime where we can, but we do not guarantee uninterrupted availability. If we discontinue a feature you depend on, or the service itself, we will give you notice and the chance to export your team's content.

NOFO is currently provided without charge to participating organizations. If we introduce fees, we will say so clearly in advance, and no account will be charged without agreeing to the price and terms first.

You may stop using NOFO and close your account at any time, and you may ask us for an export of your team's content and for its deletion.

We may suspend or end access to an account that breaches these Terms, creates a security or legal risk, or is required to be closed by law. Except where the situation is urgent or the law prevents it, we will tell you why and give you a chance to fix it. The clauses that should outlast the account, ownership, disclaimers, liability, and governing law, do.

NOFO relies on providers such as Supabase and your chosen identity provider, and links out to federal sites and other resources. Those services carry their own terms, and we are not responsible for the content or availability of sites we link to.

NOFO is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the service will be uninterrupted, error-free, or that opportunity information will be complete, current, or accurate.

To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost funding, missed deadlines, or lost data, arising out of or relating to NOFO.

Our total liability arising out of or relating to these Terms will not exceed the greater of the amount you paid us for the service in the twelve months before the claim, or one hundred United States dollars. Some jurisdictions do not allow these limits, in which case they apply only as far as the law allows.

You agree to defend and indemnify us against third-party claims arising from your unlawful use of NOFO, your breach of these Terms, or content you put into the product that you did not have the right to put there. Nothing in this clause requires a tribal government or tribal entity to indemnify us beyond what its own law permits.

These Terms are governed by the laws of the State of Minnesota, without regard to its conflict-of-laws rules, and the parties consent to the courts located there, except where the law applicable to a party requires otherwise.

Nothing in these Terms waives, limits, or is intended to waive the sovereign immunity of any federally recognized tribe, tribal government, or tribal entity, or subjects a tribe to a jurisdiction it has not expressly consented to. Any waiver of tribal sovereign immunity must be express, written, and separately authorized by the tribe. If a tribal government requires different terms, we would rather negotiate them than have this clause stand in the way; write to us.

We may update these Terms, and we will move the effective date at the top when we do. For material changes we will notify account holders by email before they take effect. Continuing to use NOFO after that means you accept the updated Terms.
